A prospectus of a company inviting subscriptions for debentures stated that the money was required to purchase horses and vans, etc,, and to develop the business of the company, whereas it was wanted to pay off pressing liabilities. Held, there had been a misrepresentation of fact in respect of which the directors were liable in an action of deceit
