Definition of Kelner V. Baxter
((1866), L. R. 2 C. P. 174). A contract made by a party purporting to act as agent for a principal who is not in existence cannot be ratified by such principal when he comes into existence.
The defendant, a company promoter, entered into a contract ostensibly as the agent of a company not yet formed. Held, the defendant was liable, as the contract could not be ratified by the company when formed
