Definition of Factor
A mercantile agent ; ” a person who, in the usual course of his business, has possession of the goods, or the documents of title to goods, of his principal, with authority to sell, pledge, or raise money on security of the same.” (Factors Act, 1889, s. 1, sub-s. 1.) The principal is bound by such sale or pledge even though he has forbidden it, unless there is notice of such prohibition. The principal is not bound in respect of a past advance except to the extent of any lien the factor may have on the goods of the principal. See George v. Clagett
